WeScale Candidate Privacy Notice and Confidentiality Terms

This Candidate Privacy Notice and Confidentiality Terms Agreement applies to candidates, applicants, prospective employees, prospective contractors, prospective advisors, prospective consultants, and any other individuals who participate in a recruiting, interview, trial project, assessment, evaluation, or hiring process with Heckman Enterprises Holdings, LLC d/b/a WeScale.

For purposes of this Notice and Agreement, “WeScale,” “Company,” “we,” “us,” or “our” means Heckman Enterprises Holdings, LLC d/b/a WeScale and any related companies, brands, products, communities, platforms, or business units we operate now or in the future.

“You” means the candidate, applicant, prospective contractor, prospective advisor, prospective consultant, or other individual participating in our recruiting or evaluation process.

By submitting an application, communicating with us about a role, participating in interviews, receiving access to Company information, completing an assessment, joining a recruiting call, or otherwise participating in our recruiting or evaluation process, you acknowledge that you have read and understand this Notice and agree to the confidentiality obligations below.

If you do not agree, do not proceed with the recruiting process or access any non-public Company information.

1. Scope

This Notice and Agreement applies to all recruiting and evaluation activity for WeScale, including roles as employees, contractors, advisors, consultants, founding team members, technical contributors, operators, marketers, designers, community team members, or any other position.

This Notice applies globally. Depending on where you live, additional privacy rights may apply under local law.

2. Personal Information We Collect

We may collect personal information about you in connection with recruiting, evaluating, communicating with, and potentially hiring or engaging you.

This may include:

Contact information: name, email address, phone number, address, location, social profiles, portfolio links, website, and other contact details.

Application information: résumé, CV, cover letter, work history, education history, skills, certifications, references, portfolio materials, compensation expectations, availability, work authorization information where relevant, and any other information you choose to provide.

Professional and public information: LinkedIn profile, GitHub profile, personal website, portfolio, public social media, published work, references, referrals, and other professional information available from public or lawful sources.

Interview and evaluation information: interview notes, recruiter notes, hiring team feedback, assessment results, work samples, trial project submissions, case study responses, technical evaluations, strategy exercises, reference feedback, and communications with us.

Technical and usage information: IP address, device information, browser type, operating system, referral source, application portal usage, form submissions, email engagement, scheduling activity, and similar information when you interact with our websites, forms, recruiting tools, or systems.

Audio, video, and meeting information: if interviews, calls, Looms, Zooms, Google Meets, screen shares, or other recruiting interactions are recorded, transcribed, summarized, or analyzed, we may collect the content of those recordings, transcripts, summaries, and related meeting information, subject to applicable law and any required notice or consent.

AI-assisted recruiting information: we may use AI-assisted tools to help summarize interviews, organize candidate information, evaluate fit, review applications, analyze work samples, or support recruiting operations. We do not intend for any automated system to be the sole basis for a final hiring decision unless permitted by applicable law.

Voluntarily provided information: any other information you choose to provide to us during the recruiting process.

We may collect this information directly from you, from recruiters, referrals, references, publicly available professional sources, recruiting platforms, scheduling tools, communication tools, assessment tools, or other sources permitted by law.

3. How We Use Candidate Information

We may use candidate information to:

  1. receive, review, process, and manage your application;

  2. assess your qualifications, skills, experience, judgment, taste, technical ability, communication style, cultural fit, and suitability for current or future roles;

  3. communicate with you about interviews, assessments, opportunities, scheduling, offers, onboarding, or related matters;

  4. conduct interviews, work samples, tests, trial projects, references, employment verification, or other evaluations where lawful;

  5. manage recruiting operations, hiring decisions, headcount planning, compensation discussions, internal approvals, and onboarding;

  6. maintain records relating to recruiting, compliance, business operations, and legal obligations;

  7. protect our rights, systems, team, candidates, community members, customers, partners, merchants, and business;

  8. improve our recruiting process, candidate experience, job descriptions, evaluation methods, hiring systems, and internal operations;

  9. evaluate you for future roles or opportunities unless you ask us not to do so;

  10. comply with applicable laws, regulations, legal process, audits, investigations, or governmental requests.

4. Legal Bases for Processing

Where required by applicable law, including laws in the United Kingdom, European Union, or European Economic Area, our legal bases for processing candidate information may include:

  1. taking steps at your request before entering into an employment, contractor, consulting, advisory, or other working relationship;

  2. our legitimate interests in recruiting, evaluating candidates, building our team, protecting our business, and operating our company;

  3. compliance with legal obligations;

  4. your consent, where consent is required by law, such as for certain recordings, optional information, or specific processing activities;

  5. the establishment, exercise, or defense of legal claims.

You may withdraw consent where processing is based on consent, but withdrawal will not affect processing that occurred before withdrawal.

5. How We Share Candidate Information

We may share candidate information with:

Company personnel and related parties: founders, executives, employees, contractors, advisors, recruiters, hiring managers, affiliates, and related Company teams involved in recruiting, hiring, evaluation, onboarding, legal, security, finance, or operations.

Service providers: recruiting platforms, applicant tracking systems, scheduling tools, HR tools, IT vendors, cloud providers, communication tools, assessment providers, transcription providers, AI-assisted tools, analytics vendors, and other vendors that support our recruiting and business operations.

Professional advisors: attorneys, accountants, auditors, consultants, insurers, and other professional advisors.

Authorities or third parties where legally required or permitted: courts, regulators, law enforcement, government agencies, opposing parties in legal proceedings, or other third parties where required or permitted by law.

Corporate transaction parties: potential or actual investors, lenders, buyers, acquirers, successors, financing sources, or other transaction participants in connection with a merger, acquisition, financing, restructuring, sale of assets, reorganization, diligence process, or similar corporate transaction.

We do not sell candidate personal information for money.

6. International Transfers

Because WeScale recruits globally and operates using cloud-based tools, your candidate information may be processed in the United States and other countries where we, our team members, service providers, or partners operate.

Those countries may have data protection laws that differ from the laws in your country. Where required by applicable law, we use appropriate safeguards for international transfers of personal information.

7. Candidate Rights and Choices

Depending on where you live and applicable law, you may have the right to request:

  1. access to your personal information;

  2. correction of inaccurate information;

  3. deletion of certain information;

  4. restriction or objection to certain processing;

  5. portability of certain information;

  6. withdrawal of consent where processing is based on consent;

  7. information about how your personal information is used or disclosed;

  8. the right to lodge a complaint with a data protection authority or regulator.

We may need to verify your identity before processing a request. We may deny, limit, or delay requests where permitted or required by law, including where we need to retain information for legal, compliance, security, recruiting, recordkeeping, dispute-resolution, or legitimate business purposes.

8. Data Retention

We retain candidate information for as long as reasonably necessary for recruiting, evaluation, future opportunities, business operations, legal compliance, dispute resolution, security, auditing, and recordkeeping purposes.

Retention periods may vary depending on the type of information, the role, our relationship with you, applicable legal requirements, and whether you are hired, rejected, withdraw, or remain under consideration for future opportunities.

9. Security

We use reasonable technical, administrative, and organizational safeguards designed to protect candidate information from unauthorized access, loss, misuse, disclosure, alteration, or destruction.

However, no system, platform, network, email, or internet transmission is completely secure, and we cannot guarantee absolute security.

10. Confidentiality Obligations

During the recruiting process, you may receive, observe, access, or learn non-public information about WeScale, its related businesses, its founders, its team, its customers, its community members, its merchants, its partners, its software, its systems, its strategy, or its current or future plans.

You agree to treat all Confidential Information as strictly confidential and to use it only for the purpose of participating in the recruiting, interview, evaluation, assessment, or hiring process with WeScale.

11. Confidential Information

“Confidential Information” means any non-public, confidential, proprietary, commercially sensitive, technical, financial, strategic, operational, creative, or personal information relating to WeScale, whether disclosed orally, visually, electronically, in writing, through screenshots, through software access, through meetings, through demos, through documents, through messages, through candidate assessments, or by any other means.

Confidential Information includes, without limitation:

  1. business plans, strategy, roadmaps, forecasts, budgets, financials, revenue, profit, margins, expenses, pricing, discounts, compensation, equity, and fundraising information;

  2. information about WeScale Accelerator, WeScale Mastermind, WeScale community operations, educational products, coaching frameworks, curriculum, member onboarding, member results, member communications, private events, and internal community systems;

  3. information about merchants, customers, students, members, prospects, vendors, partners, affiliates, creators, agencies, suppliers, print providers, platforms, investors, or business relationships;

  4. merchant or customer revenue, GMV, profit, ad spend, conversion rate, order volume, product performance, niche, store, brand, design, campaign, or operational data;

  5. software, code, repositories, product plans, technical architecture, agent infrastructure, internal tools, workflows, databases, API keys, integrations, credentials, automations, dashboards, prompts, evals, models, datasets, training data, test data, scoring systems, and AI systems;

  6. prompts, prompt chains, agent instructions, model outputs, evaluation rubrics, design-ranking systems, ad-generation systems, product-generation systems, feedback loops, content-generation systems, and any other proprietary AI-related process;

  7. creative assets, ad creatives, landing pages, funnels, email campaigns, copy, hooks, scripts, video concepts, design files, product ideas, product mockups, brand concepts, and testing results;

  8. SOPs, internal playbooks, policies, documents, templates, training materials, meeting notes, recordings, transcripts, Notion pages, Slack messages, Google Drive files, Looms, dashboards, spreadsheets, and internal communications;

  9. hiring plans, candidate pipelines, interview materials, compensation bands, team structure, personnel decisions, contractor relationships, and internal organizational matters;

  10. personal, professional, or private information about Company founders, executives, team members, contractors, advisors, community members, customers, or partners;

  11. the existence, status, nature, or terms of any non-public transaction, partnership, investment, acquisition, vendor relationship, customer relationship, contractor relationship, or employment discussion involving WeScale;

  12. any information that is marked confidential or proprietary, or that reasonably should be understood to be confidential given the nature of the information or the circumstances of disclosure.

Confidential Information does not need to be marked “confidential” to be protected.

Information disclosed verbally, visually, in interviews, in product demos, in screen shares, in Slack, in email, in documents, in screenshots, in videos, or through access to systems may still be Confidential Information.

Confidential Information does not include information that you can prove:

  1. is publicly available through no breach of this Agreement or other duty by you;

  2. was lawfully known to you before disclosure by WeScale without a duty of confidentiality;

  3. was lawfully received by you from a third party without a duty of confidentiality;

  4. was independently developed by you without use of or reference to Confidential Information.

12. Your Confidentiality Duties

You agree that you will not:

  1. use Confidential Information for any purpose other than participating in WeScale’s recruiting or evaluation process;

  2. disclose, publish, post, share, summarize, distribute, or make available Confidential Information to any third party without WeScale’s prior written consent;

  3. copy, screenshot, download, record, scrape, photograph, transcribe, export, or reproduce Confidential Information except as expressly authorized by WeScale;

  4. upload, paste, submit, or otherwise provide Confidential Information to any external AI tool, chatbot, model, software system, database, public repository, or third-party platform without WeScale’s prior written consent;

  5. reverse engineer, decompile, inspect, benchmark, replicate, or attempt to derive the underlying structure, logic, prompts, systems, workflows, strategies, or methods of any WeScale product, system, tool, process, or business operation;

  6. use Confidential Information to build, improve, fund, advise, launch, or support a competing or similar business, product, community, course, software product, AI tool, print-on-demand brand, design system, advertising system, or recruiting process;

  7. contact, solicit, pitch, sell to, recruit from, or interfere with any WeScale customer, member, student, merchant, vendor, partner, employee, contractor, advisor, candidate, or business relationship using Confidential Information;

  8. represent or imply that you are employed by, affiliated with, endorsed by, partnered with, or authorized to act on behalf of WeScale unless expressly authorized in writing.

Nothing in this Agreement prevents you from stating truthfully that you interviewed with WeScale, provided you do not disclose Confidential Information.

13. Candidate Assessments and Work Product

As part of the recruiting process, WeScale may ask you to complete interviews, exercises, tests, take-home assignments, trial projects, case studies, work samples, technical tasks, strategy exercises, or other candidate assessments.

Unless otherwise agreed in writing:

  1. WeScale retains all rights in its Confidential Information, materials, prompts, instructions, data, systems, examples, templates, and other Company-provided materials.

  2. You retain ownership of your pre-existing materials, portfolio work, and independently developed materials that do not use or incorporate WeScale Confidential Information.

  3. You grant WeScale a limited, non-exclusive, royalty-free right to review, evaluate, reproduce, internally share, and store your assessment submissions for recruiting, evaluation, recordkeeping, and hiring purposes.

  4. WeScale will not intentionally use unpaid candidate assessment work as a final commercial deliverable without a separate written agreement.

  5. Assessment materials and related discussions remain subject to the confidentiality obligations in this Agreement.

14. Access After Hiring or Engagement

If you are hired, engaged, retained, or otherwise brought onto the WeScale team, you may receive access to additional Confidential Information, systems, tools, code, prompts, merchant information, member information, customer data, financial data, community data, or internal operations.

Your access to that information may be subject to additional agreements, including employment agreements, contractor agreements, consulting agreements, invention assignment agreements, IP assignment agreements, data security policies, acceptable use policies, or other Company policies.

Nothing in this Notice limits any additional confidentiality, intellectual property, data security, non-solicitation, non-disclosure, or other obligations you may owe to WeScale under a separate agreement.

15. Return or Destruction of Confidential Information

Upon WeScale’s request, or when your candidacy ends, you agree to promptly return, delete, or destroy all Confidential Information in your possession or control, including copies, screenshots, recordings, notes, summaries, downloads, files, credentials, exports, and materials derived from Confidential Information.

You may retain copies only to the extent required by law, legal process, or automatic archival systems that are not reasonably accessible in the ordinary course, provided those retained copies remain subject to this Agreement.

16. No License or Ownership Transfer

All Confidential Information remains the exclusive property of WeScale or the applicable owner.

Nothing in this Agreement grants you any ownership interest, license, intellectual property right, or other right in any Confidential Information, Company system, software, content, brand, trademark, copyright, design, prompt, workflow, dataset, business process, or other Company asset, except the limited right to use Confidential Information solely for the recruiting process as authorized by WeScale.

17. No Obligation to Hire or Proceed

Nothing in this Notice or Agreement creates an offer of employment, contractor engagement, partnership, joint venture, fiduciary relationship, or obligation for WeScale to hire, engage, compensate, continue discussions with, or provide any opportunity to you.

Unless a separate written agreement signed by WeScale states otherwise, any employment, contractor, consulting, advisory, or other working relationship remains subject to separate written terms.

18. Protected Rights

Nothing in this Agreement prohibits you from reporting possible violations of law or regulation to any governmental agency or entity, cooperating with any lawful governmental investigation, making disclosures protected under whistleblower laws, or exercising rights that cannot be waived by agreement.

Nothing in this Agreement is intended to restrict rights under applicable labor, employment, whistleblower, securities, privacy, or other laws.

You are not required to notify WeScale before making a legally protected report to a government agency.

19. Remedies

You acknowledge that unauthorized use or disclosure of Confidential Information may cause substantial and irreparable harm to WeScale and that monetary damages may be inadequate to fully remedy that harm.

In the event of any actual or threatened breach of the confidentiality obligations in this Agreement, WeScale may seek injunctive relief, equitable relief, damages, attorneys’ fees where permitted, and any other remedies available at law or in equity, without limiting any other rights or remedies.

20. Updates

We may update this Candidate Privacy Notice and Confidentiality Terms from time to time.

The “Last Updated” date above indicates the latest version. Updated terms will apply as permitted by law and, where required, will be provided to you or made available before they apply.
